End User License Agreement

This agreement explains the license and responsibilities that apply when you use Assistloft, especially when creating, automating, scheduling, or publishing social and customer-facing content.

1. Agreement To This EULA

This End User License Agreement ("EULA") governs your access to and use of Assistloft websites, applications, software, APIs, social media tools, AI features, and related services (collectively, the "Services"). By creating an account, connecting a third-party platform, publishing content, or otherwise using the Services, you agree to this EULA, our Terms of Service, our Acceptable Use Policy, and our Privacy Policy.

2. Limited License

Subject to this EULA and any applicable order, subscription, or plan limits, Assistloft grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

You may not sell, rent, sublicense, copy, modify, reverse engineer, decompile, scrape, or create derivative works from the Services except as allowed by applicable law or a separate written agreement with Assistloft.

3. Accounts And Authorized Users

You are responsible for all activity under your account, workspace, API keys, connected social accounts, and user seats. You must keep credentials secure, use accurate account information, and promptly remove access for anyone who is no longer authorized to use the Services on your behalf.

4. Your Content And Publishing Rights

You retain ownership of posts, captions, prompts, files, images, videos, brand assets, comments, messages, customer records, and other materials you submit to or generate through the Services ("Customer Content").

You represent and warrant that you have all rights, licenses, permissions, consents, releases, and clearances necessary to upload, process, schedule, publish, distribute, and display Customer Content through the Services, including images, videos, music, likenesses, logos, trademarks, testimonials, and user-generated content.

You grant Assistloft a limited license to host, process, transmit, display, publish, and otherwise use Customer Content as needed to provide, secure, support, and improve the Services.

5. Social Platform Compliance

When you connect or publish to third-party platforms, including social media, messaging, advertising, analytics, CRM, or payment services, you must comply with their terms, policies, community standards, rate limits, developer rules, content rules, advertising rules, and disclosure requirements. Assistloft is not responsible for platform decisions, account restrictions, content removals, API changes, or enforcement actions by third-party services.

6. Prohibited Content And Conduct

You may not use the Services to create, upload, schedule, publish, automate, distribute, or promote content that:

  • Is unlawful, fraudulent, deceptive, defamatory, invasive, or infringing.
  • Contains harassment, threats, hate, abuse, exploitation, graphic violence, or targeted toxic language.
  • Encourages self-harm, violence, discrimination, illegal activity, or evasion of platform rules.
  • Includes malware, phishing, scams, credential harvesting, or malicious links.
  • Violates another person's intellectual property, privacy, publicity, confidentiality, or contractual rights.
  • Misrepresents your identity, affiliation, products, endorsements, reviews, or commercial relationship.

7. Spam, Automation, And Unsolicited Marketing

You may not use the Services to send, publish, or facilitate:

  • Unsolicited bulk messages, spam, abusive outreach, or manipulative engagement.
  • Automated comments, direct messages, replies, follows, likes, or other activity that violates platform rules.
  • Marketing communications without required consent, notice, opt-out rights, or lawful basis.
  • Misleading sender identities, deceptive claims, fake urgency, unauthorized endorsements, or hidden advertising.

8. AI Features And Human Review

The Services may generate captions, replies, summaries, images, recommendations, analytics, or other AI-assisted outputs. AI output may be inaccurate, incomplete, offensive, biased, or unsuitable for your intended use. You are responsible for reviewing, editing, approving, and validating AI output before publishing it, relying on it, or sending it to customers or third parties.

9. Usage Limits And Abuse

Your use of the Services may be subject to plan limits, usage quotas, rate limits, seat limits, connected-account limits, storage limits, API limits, or fair use restrictions. You may not bypass limits, interfere with the Services, overload systems, resell access, or use multiple accounts to avoid enforcement or billing.

10. Fees And Billing

Paid Services are billed according to the plan, order, or checkout terms presented to you. You are responsible for applicable fees, taxes, usage charges, renewals, and payment information. Unless otherwise stated or required by law, fees are non-refundable.

11. Suspension And Termination

We may suspend, limit, or terminate access to the Services if we believe you have violated this EULA, created risk for Assistloft, harmed another person or platform, failed to pay fees, exceeded usage limits, or if suspension is required by law or a third-party platform. Upon termination, your license to use the Services ends.

12. Assistloft Ownership

Assistloft and its licensors retain all rights, title, and interest in the Services, including software, APIs, interfaces, workflows, designs, documentation, trademarks, analytics systems, AI orchestration, and related intellectual property. No rights are granted except for the limited license described in this EULA.

13. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Assistloft disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

14. Limitation Of Liability

To the fullest extent permitted by law, Assistloft will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, social account restrictions, content removals, or third-party platform enforcement. Assistloft's total liability for claims relating to the Services will not exceed the amounts paid by you to Assistloft for the Services giving rise to the claim during the 12 months before the event giving rise to liability.

15. Indemnification

You agree to defend, indemnify, and hold harmless Assistloft from claims, damages, losses, liabilities, costs, and expenses arising from your Customer Content, connected accounts, published content, use of the Services, violation of this EULA, violation of law, or violation of third-party rights or platform rules.

16. Changes To This EULA

We may update this EULA from time to time. If we make material changes, we will use reasonable efforts to notify you. Your continued use of the Services after the updated EULA becomes effective means you accept the updated EULA.

17. Governing Law

This EULA is governed by the laws of the State of Delaware, without regard to conflict of law principles, unless a different governing law is required by applicable law or specified in a separate written agreement.
