Welcome to Assistloft. These Terms describe the rules that apply when you access or use our Services. Please read them carefully, along with our Privacy Policy.
Your use of the Services is also subject to our End User License Agreement and Acceptable Use Policy.
1. Acceptance Of Terms
These Terms of Service govern your access to and use of Assistloft websites, applications, products, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Your use of the Services is also subject to our End User License Agreement and Acceptable Use Policy.
2. Eligibility And Accounts
You must be able to form a binding contract to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate account information and to promptly update it as needed.
3. Services
Assistloft provides tools for AI-powered customer engagement, knowledge base management, conversation intelligence, CRM workflows, and team collaboration. We may modify, suspend, or discontinue portions of the Services from time to time.
We may offer beta, preview, or experimental features. Those features may be incomplete, change without notice, or be discontinued at any time.
4. Acceptable Use
You agree not to misuse the Services or help anyone else do so. Prohibited conduct includes:
- Violating applicable laws, regulations, or third-party rights.
- Attempting to gain unauthorized access to the Services or related systems.
- Interfering with, disrupting, or burdening the Services.
- Uploading malicious code, malware, or harmful content.
- Using the Services to generate or distribute unlawful, deceptive, abusive, or infringing content.
- Reverse engineering, scraping, or copying the Services except as permitted by law or written agreement.
- Using the Services to make automated decisions with legal or similarly significant effects without appropriate human review.
5. Customer Content
You retain ownership of content, data, prompts, files, knowledge base materials, customer records, and other information you submit to the Services ("Customer Content").
You grant Assistloft a limited license to host, process, transmit, display, and use Customer Content as necessary to provide, secure, support, and improve the Services in accordance with these Terms and our Privacy Policy.
You represent that you have all rights and permissions necessary to submit Customer Content to the Services and to allow Assistloft to process it.
6. AI Features And Outputs
The Services may use artificial intelligence to generate responses, summarize conversations, classify leads, extract insights, or assist with customer workflows. AI-generated output may be inaccurate, incomplete, or unsuitable for a particular purpose.
You are responsible for reviewing and validating AI output before relying on it, sharing it, or using it to make decisions. Assistloft does not provide legal, financial, medical, or other professional advice through the Services.
7. Privacy And Security
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that we process information as described there.
We use reasonable administrative, technical, and organizational measures designed to protect the Services. However, no system can be guaranteed to be completely secure.
8. Subscriptions, Fees, And Payment
Some Services may require payment of subscription fees, usage fees, AI credits, or other charges. You agree to pay all fees associated with your account and selected plan.
8.1 Billing And Subscription Terms
Subscriptions are offered on a recurring basis (e.g., monthly or annually) and are billed in advance at the time of purchase. By selecting a subscription plan, you authorize us to charge your designated payment method on a recurring basis corresponding to your chosen billing cycle until the subscription is canceled or terminated.
8.2 Cancellation And Auto-Renewal
You may cancel your subscription auto-renewal at any time through your account settings or by contacting customer support. To prevent future charges, you must cancel prior to your next renewal date. Upon cancellation:
- Your subscription will remain active, and you will retain full access to the Service through the remainder of your current paid billing period.
- Your subscription will not auto-renew at the conclusion of the paid term, and no further recurring charges will be made.
8.3 Refund Policy
Except as expressly required by applicable law, all purchases, including annual and monthly subscription payments, are strictly non-refundable. We do not issue cash refunds, prorated credits, or adjustments for unused time, partial months/years, or unused platform usage if you cancel your subscription prior to the end of your billing cycle.
8.4 EU/UK Right Of Withdrawal
If you are a consumer residing in the European Union (EU) or United Kingdom (UK), you have the right to withdraw from your subscription purchase within 14 days without giving any reason. If you exercise this right, we will refund your payment prorated based on the portion of the Services provided up to the date you notified us of your cancellation.
Please note: If you purchase a subscription and explicitly request/consent to begin using the Services immediately, you acknowledge that you lose your statutory 14-day right of withdrawal once you begin using the platform or access the digital content.
8.5 Changes To Pricing And Terms
We may change pricing, plan features, or billing terms from time to time. We will use reasonable efforts to provide notice of material changes before they apply to you.
9. Third-Party Services
The Services may integrate with or link to third-party products, services, websites, or platforms. We are not responsible for third-party services, and your use of them may be governed by separate terms and policies.
10. Assistloft Intellectual Property
Assistloft and its licensors retain all rights, title, and interest in and to the Services, including software, designs, interfaces, trademarks, logos, documentation, and related intellectual property. Except for the limited right to use the Services under these Terms, no rights are transferred to you.
11. Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Assistloft the right to use them without restriction or compensation to you.
12. Confidentiality
If either party receives non-public information from the other that is marked confidential or should reasonably be understood to be confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Services.
13. Suspension And Termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms, create risk for Assistloft or others, fail to pay fees, or if required by law.
Upon termination, your right to access the Services will end. Sections that by their nature should survive termination will continue to apply.
14. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Assistloft disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
15. Limitation Of Liability
To the fullest extent permitted by law, Assistloft will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Assistloft's total liability for any claim relating to the Services will not exceed the amounts paid by you to Assistloft for the Services giving rise to the claim during the 12 months before the event giving rise to liability.
16. Indemnification
You agree to defend, indemnify, and hold harmless Assistloft from and against claims, liabilities, damages, losses, and expenses arising from your use of the Services, Customer Content, violation of these Terms, or violation of applicable law or third-party rights.
17. Changes To These Terms
We may update these Terms from time to time. If we make material changes, we will use reasonable efforts to notify you. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless a different governing law is required by applicable law or specified in a separate written agreement.
